These Terms of Use (these "Terms") describes the rules for use of the websites (each, a “Site”), and mobile applications (each an "App") operated or maintained by DocSquad, LLC and its affiliates, including all content, services, tools and functionalities hosted therein (collectively with the Apps and Sites, the "Service(s)"). References to "DocSquad", "us" and "we" in these Terms refer to DocSquad and its affiliates, and terms such "you" and "your" refer to the person using or visiting any Service, receiving any services or products via any Service, and in either case, any person or entity on whose behalf you are acting.

By using the Services, you, agree to the most recent version of these Terms and acknowledge our Privacy Policy. If you do not agree to these Terms, you may not use any of the Services. We reserve the right to change these Terms without prior notice. Modifications shall become effective upon being posted on this or a similar page of this Service. By your continued use of any Service after any changes are posted, you consent to and accept of these Terms and any changes. Except as provided in this paragraph, these Terms may not be amended.

Important Note Regarding Service Content

ALWAYS SEEK THE ADVICE OF YOUR PHYSICIAN OR OTHER QUALIFIED HEALTH PROVIDER WITH ANY QUESTIONS YOU MAY HAVE REGARDING A MEDICAL CONDITION. NEITHER THE CONTENT (DEFINED BELOW) NOR ANY OTHER MATERIAL OFFERED BY OR THROUGH THE SERVICES ARE INTENDED TO BE RELIED ON FOR MEDICAL DIAGNOSIS OR TREATMENT, WITHOUT A PHYSICIAN'S INTERACTION AND INVOLVEMENT. NEVER DISREGARD MEDICAL ADVICE OR DELAY IN SEEKING IT BECAUSE OF SOMETHING YOU HAVE READ ON THE SERVICES.

Other than information you receive from licensed medical practitioners ("Health Care Practitioners") via the Service, all other content on the Services or the information presented on or through any Service (collectively, the "Content") is made available solely for general information purposes and does not replace the relationship that you have with your health care professionals. The Content on the Service is not medical advice. If you are experiencing a medical emergency, you should not rely on any information on any Service and should seek appropriate emergency medical assistance, such as calling "911." You should always talk to your health care professionals for diagnosis and treatment, including information regarding which drugs or treatment may be appropriate for you. None of the information on the Service represents or warrants that any particular drug or treatment is safe, appropriate or effective for you. Health information changes quickly. Therefore, it is always best to confirm information with your health care professionals.

The Health Care Practitioners that provide virtual appointments via Services (specifically, the DocSquad virtual care platform) (“Health Care Services”) are independent from DocSquad. In some cases, Health Care Practitioners are independently owned and operated, and in other cases, Health Care Practitioners are affiliates of DocSquad, but in any case, DocSquad does not itself provide any healthcare or clinical services. Heath Care Practitioners may provide you with their own notices, terms or agreements outside of DocSquad's control.

The Service is intended for a United States audience. If you live outside the U.S., you may see information on our Site(s) about products or therapies that are not available or authorized in your country.

Limitation of Liability

DOCSQUAD AND ITS VENDORS/SUPPLIERS SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER, AND IN PARTICULAR DOCSQUAD AND ITS VENDORS/SUPPLIERS SHALL NOT BE LIABLE FOR ANY SPECIAL, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOSS OF REVENUE, OR LOSS OF USE, ARISING OUT OF OR RELATED TO THIS WEBSITE/APP OR THE INFORMATION CONTAINED IN IT, WHETHER SUCH DAMAGES ARISE IN CONTRACT, NEGLIGENCE, TORT, UNDER STATUTE, IN EQUITY, AT LAW, OR OTHERWISE, EVEN IF DOCSQUAD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW FOR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, THEREFORE SOME OF THE ABOVE LIMITATIONS MAY BE INAPPLICABLE, AND THE REMAINDER SHALL SURVIVE.

Fees and Payment

You agree to pay all fees or charges for access to the Services and Health Care Services in accordance with the schedule, fees, charges, and billing terms then in effect, except any fees or charges that another party (e.g., your employer or health plan) has contractually agreed to pay on your behalf. DocSquad collects payments for Health Care Services on behalf of the applicable Health Care Practitioners as their collection agent. DocSquad may use a third-party payment processor (the “Payment Processor”) in which case your use of the Services will also be subject to the terms, conditions, and privacy policies of the Payment Processor. DocSquad is not responsible for any damages arising out of any errors or omissions by the Payment Processor or by your credit card issuer. Our payment processing services are currently provided by authorize.net and/or its affiliates, You can review their terms and conditions and privacy policy at authorize.net. By entering your payment information, you authorize us, our affiliates, or our Payment Processor to charge the amount due. Any health care services not made available through the Services are not included in the payments collected by DocSquad and you may be separately charged by the applicable Health Care Practitioners for such services. In the event that your credit card expires or DocSquad, our affiliates, or our Payment Processor are unable to process your payment, you may receive notice for you to provide an alternative payment method. DocSquad and/or the Health Care Practitioners have no obligation to provide any Services of Health Care Services unless and until full payment has been received and/or verified.

Disclaimer of Warranties

TO THE EXTENT PERMITTED BY APPLICABLE LAW, THIS SERVICE, AND ALL CONTENT ON IT, IS PROVIDED ON AN "AS IS" AND AS-AVAILABLE BASIS. WE AND ANY THIRD PARTIES PROVIDING ANY CONTENT ON ANY SERVICE EXPRESSLY DISCLAIM ANY WARRANTY OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY, NONINFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE, OR WARRANTIES ARISING FROM A COURSE OF DEALING, TRADE USAGE, OR TRADE PRACTICE. THERE IS NO WARRANTY THAT ANY SERVICE WILL OPERATE UNINTERRUPTED, ERROR FREE OR VIRUS FREE. WE MAKE NO WARRANTIES OF ANY KIND WHATSOEVER AS TO THE RESULTS THAT YOU WILL OBTAIN FROM RELYING UPON THE SERVICES PROVIDED TO YOU. TO THE MAXIMUM EXTENT PERMITTED BY LAW YOU AGREE THAT WE, AS WELL AS ALL OF OUR SUPPLIERS AND VENDORS, SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOSSES, DAMAGES, OR LIABILITIES OF ANY NATURE WHATSOEVER ON ACCOUNT OF OR ASSOCIATED WITH ANY SERVICES RENDERED UNDER THESE TERMS OR THE USE OF ANY SITE OR APP.

IN THE EVENT ANY PART OF THE SERVICE CONTAINS ANY PRICING ERRORS, INACCURATE OR OUTDATED INFORMATION, OR OTHER ERRORS, WE RESERVE THE RIGHT TO CORRECT SUCH ERRORS AND ARE NOT REQUIRED TO HONOR ANY PRICING OR OTHER ERRORS. YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISSATISFACTION WITH ANY SERVICE OR FOR ANY ACT OR OMISSION BY US RELATED TO ANY SERVICE AS WELL AS ANY RESULTING ALLEGED INJURY OR DAMAGE IS TO STOP USING THE SERVICES.

IF ANY OF THE ABOVE OR BELOW LIMITATIONS OR DISCLAIMERS ARE NOT PERMITTED IN ANY PARTICULAR STATE OR JURISDICTION, THEN SUCH ITEM IS DEEMED AMENDED AS MINIMALLY NECESSARY FOR LEGAL COMPLIANCE, OR IF AMENDMENT IS NOT POSSIBLE THEN SUCH ITEM IS DEEMED DELETED, AND THE REMAINDER OF THESE TERMS REMAINS IN FULL FORCE AND EFFECT.

Limitation of Liability

DOCSQUAD, ITS PARENT COMPANY, AFFILIATES, AND EACH OF THEIR RESPECTIVE VENDORS AND SUPPLIERS ("SERVICE RELATED PARTIES") SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER, AND IN PARTICULAR DOCSQUAD AND ITS VENDORS/SUPPLIERS SHALL NOT BE LIABLE FOR ANY SPECIAL, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOSS OF REVENUE, OR LOSS OF USE, ARISING OUT OF OR RELATED TO THIS SERVICE OR THE INFORMATION CONTAINED IN IT, WHETHER SUCH DAMAGES ARISE IN CONTRACT, NEGLIGENCE, TORT, UNDER STATUTE, IN EQUITY, AT LAW, OR OTHERWISE, EVEN IF DOCSQUAD OR ANY OTHER PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL, CUMULATIVE, LIABILITY OF THE SERVICE-RELATED-PARTIES, INCLUDING ALL AFFILIATES, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS, IF ANY, FOR ANY SUCH LOSSES OR DAMAGES SHALL BE LIMITED TO THE AMOUNT OF YOUR ACTUAL DAMAGES, NOT TO EXCEED THE AMOUNT YOU PAID TO DOCSQUAD IN THE THREE MONTH PERIOD IMMEDIATELY PRECEDING THE DATE ON WHICH THE CLAIM AROSE OR, IF YOUR ACCESS TO THE SERVICES IS PAID BY A HEALTH PLAN OR OTHER THIRD PARTY, U.S. $100.00. SOME JURISDICTIONS DO NOT ALLOW FOR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, THEREFORE SOME OF THE ABOVE LIMITATIONS MAY BE INAPPLICABLE, AND THE REMAINDER SHALL SURVIVE.

You acknowledge and agree that our suppliers are third-party beneficiaries of these Terms, with the right to enforce the limitations of warranty and liability set forth herein with respect to the respective technology of such suppliers.

License to Use the Apps and Websites and Content Ownership

Subject to these Terms, we grant you a personal, nontransferable, nonexclusive, revocable, limited license to use an App or Website and to view the Content available on the App or Website for your personal, noncommercial use only. All rights, title and interest in and to the Services, including the Content, and all intellectual property rights, including all copyright, trademark, patent and trade secret rights therein shall remain with us and our licensors and vendors, and no ownership interest is transferred to you or any other entity by virtue of making the Content available on a Site or App, granting the foregoing licenses or entering into these Terms.

In the event you choose to provide us with any feedback, suggestions, or similar communications, all such messages (collectively, "Feedback Messages") will be considered non-personal, non-confidential (except for personal information as described in our Privacy Policy) and nonproprietary. You hereby grant us a perpetual, sublicensable, assignable, unrestricted, worldwide, royalty-free, irrevocable license to use, reproduce, display, perform, practice, modify, create derivative or collective works, transmit and distribute your Feedback Messages, in whole or in part, and including all intellectual property rights therein.

Some Sites or Apps operated by us include trademarks or logos belonging to other third-party licensors and are used pursuant to an agreement with such third parties.

Posting Messages, Comments or Content

Certain portions of our Services may be configured to permit users to post messages, comments, or other content. Any such content is only the opinion of the poster, is no substitute for your own research, and should not be relied upon for any purpose. You agree not to post any content:

  • which is profane, libelous, defamatory, obscene, pornographic, indecent, lewd, harassing, threatening, harmful, invasive of privacy or publicity rights, abusive, inflammatory, or otherwise objectionable; or
  • the transmission of which could violate, or facilitate the violation of, any applicable law, regulation, or intellectual property rights.

You are solely responsible for the content of any postings you submit and we assume no responsibility or liability for any content submitted by you or any other Service visitor. We may, but are not obligated to, restrict or remove any and all content from a message that we determine in our sole discretion violates these Terms or is otherwise harmful to us, our customers, or any third party. We reserve the right to remove the content you provide at any time, but you understand that we may preserve and access a backup-copy, and we may disclose the content if required to do so by law or in a good faith belief that such access, preservation, or disclosure is required by law or in our best interests.

Any content you submit will be routed through the Internet and you understand and acknowledge that you have no expectation of privacy with regard to any content you submit. Never assume that you are anonymous and cannot be identified by your posts.

If you do post content or submit material, and unless we indicate otherwise, you grant us a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. You grant us and any of our sublicensees the right to use the name that you submit in connection with such content, if they choose. You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate these Terms and will not cause injury to any person or entity; and that you will indemnify us and our affiliates for all claims resulting from content you supply.

Indemnification

You agree to indemnify and hold DocSquad, its parents, subsidiaries, business partners, affiliates, officers and employees, harmless from any claim or demand, including reasonable attorneys' fees and costs, made by any third party due to or arising out of your use of any Service, the violation of these Terms, or infringement by you, or other user of any Service using your computer, of any intellectual property or any other right of any person or entity. This includes products and services that are hosted on DocSquad.com, as well as any created or developed by a third-party vendor or partner which are integrated any Service.

Modifications and Interruption to Service

DocSquad reserves the right to modify or discontinue any Service with or without notice to you. DocSquad shall not be liable to you or any third party should DocSquad exercise its right to modify or discontinue any Service. You acknowledge and accept that DocSquad does not guarantee continuous, uninterrupted or secure access to any Service and operation of any Service may be interfered with or adversely affected by numerous factors or circumstances outside of our control.

Third-Party Sites

Our Services may include links to other websites, applications or services that are owned or operated by third parties. You acknowledge that we are not responsible for the availability of, or the content, accuracy or accessibility of any third-party site. You should contact the site administrator for those third-party sites if you have any concerns regarding such links, embedded or the content located on such sites. Your use of those third-party sites is subject to the terms of use and privacy policies of each third-party site or service, and we are not responsible therein. We encourage you to review the terms of use and privacy policies of third-parties' sites.

Disclaimer Regarding Accuracy of Wellness Information

Other than information you receive from Health Care Practitioners via a Service, the tools and resources that we provide on our Services to engage members in their health and wellness have been compiled from publicly available sources. DocSquad cannot make representations or warranties as to the accuracy or reliability of any information provided on this Service.

Mobile Application Access

When using an App or accessing a Site via your mobile device, you may incur additional charges from your wireless provider for these mobile services. You agree that you are solely responsible for any such charges. Standard messaging and data rates may apply.

Compliance with Laws; Restrictions on Use of Services

You are responsible for compliance with all applicable laws. You may not use any Service in any way that violates applicable state, federal, or international laws, regulations or other government requirements. You further agree not to transmit any material that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national, or international law or regulation. Additionally, you agree not to use the Service:

  • For exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise;
  • To send, knowingly receive, upload, download, use, or re-use any material that does not comply with these Terms;
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation;
  • To impersonate or attempt to impersonate the DocSquad, a DocSquad employee, another user, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing);
  • To transmit any sexually explicit material;
  • To engage in any other conduct, including discrimination or harassment, that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm the DocSquad or users of the Service, or expose them to liability;
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service; or
  • Otherwise attempt to interfere with the proper working of the Service.

Furthermore, you may not copy, disclose, loan, rent, sell, lease, give away, give your password to or otherwise allow access to this Service by any other person, except that you may allow your spouse or immediate family to use any Service for the purpose of processing your own data on your behalf, in which case you authorize them to act on your behalf and agree that their actions are binding upon you. You agree to only use the Services to process your own data. You agree not to misuse, abuse, or overuse beyond reasonable amounts, the Services, including, without limitation, the introduction or distribution of any distribute viruses or other harmful computer code to or through the Services. You agree not to attempt to view, disclose, copy, reverse engineer, disassemble, decompile or otherwise examine the source program code behind the Services. You agree not to access or attempt to access any other account of any other person on the Services or to access or attempt to access any portion of the Services which you are not explicitly authorized to access. You agree not to misrepresent your identity or provide us with any false information in any information-collection portion of any Service, such as a registration or application page, and not to take any action intended to interfere with the operation of any Service. You represent and warrant that you are at least 13 years of age, and that if you are between 13 and 18 years of age a parent and/or guardian agrees to these Terms on your behalf.

If you violate these Terms or applicable law in any way, DocSquad may take such action as DocSquad deems appropriate to deal with the violation, including suspending your access to any Service, prohibiting you from accessing any Service, blocking computers using your IP address from accessing any Service, contacting your internet service provider to request that they block your access to any Service, reporting you to governmental authorities, and/or bringing court proceedings against you.

Security

You are responsible for changing your password upon making use of the Service for the first time. You are also responsible for safeguarding and maintaining the secrecy of your password at all times. We believe that we have taken reasonable security steps; however, nothing is entirely hackerproof or foolproof, and you accept the risk of conducting medical, financial and private transactions via the Internet. You agree that DocSquad is not responsible or liable for the illegal actions of third parties (e.g., hackers).

Personal Information

Email, text messages, Internet transactions or other electronic communications between you and us may not be secure. While certain communications are performed through a Secure Sockets Layer (SSL) connection, not all communications between you and us are encrypted. We is not responsible for any interception or disclosure of personal information that may occur as the result of any electronic communications in using the Services. Please consider these facts before sending us any personal or confidential information or utilizing the Services which may result in personal or confidential information being transmitted by us to you. We may monitor, record, collect and use for any lawful purpose information generated through Your use of a Site or App. Our collection and use of such information is described in our Privacy Policy. Your obligations under these Terms are in no way conditioned on our compliance with the terms of the Privacy Policy.

SMS / Text messaging

During registration or at other times, you may opt-in to receive SMS notifications related to the Service. We may send you an SMS message to confirm your signup. You can cancel the SMS service at any time. Just text "STOP" to the short code. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

If at any time you forget what keywords are supported, just text "HELP" to the short code. After you send the SMS message "HELP" to us, we will respond with instructions on how to use our service as well as how to unsubscribe.

Carriers are not liable for delayed or undelivered messages.

As always, message and data rates may apply for any messages sent to you from us and to us from you. You will receive a variable number of messages per visit, based on update frequency. You agree that you will not use or enable any robot, spider, or other automatic device, or manual process to monitor or copy our Services or the content contained therein without prior written permission of an authorized officer of DocSquad. DocSquad and DocSquad are proprietary marks and may not be used in connection with any product or service that is not provided by DocSquad, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits DocSquad. Copyright Infringement - DMCA Notice

The Digital Millennium Copyright Act of 1998 (the "DMCA") provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under US copyright law. Other Terms

If any provision of these Terms shall be unlawful, void or unenforceable for any reason, the other provisions shall not be affected thereby and shall remain valid and enforceable to the maximum possible extent. You agree that these Terms and any other agreements referenced herein may be assigned by DocSquad, in our sole discretion, in whole or in part, to an affiliate, or to a third party, without prior notice to you. These Terms shall apply in addition to, and shall not be superseded by, any other written agreement between us in relation to your use of any Service. Before seeking legal recourse for any harm you believe you have suffered arising from or related to your use of any Service, you agree to inform us in writing and to give us 30 days to cure the harm before initiating any action. You agree to bring any and all claims involving us or any Service within twelve (12) months of the date on which such claim first arises; all claims not brought by you within such time period are waived. All sections of these Terms which, by their nature are designed to survive expiration or termination of these Terms shall survive. No waiver of any of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Governing Law; Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota (excluding its conflicts of law rules). You consent to the jurisdiction of the state and federal courts located in Hennepin County, State of Minnesota for all disputes related to these Terms.

ANY DISPUTE ARISING UNDER OR RELATING IN ANY WAY TO THESE TERMS OF USE WILL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION IN MINNEAPOLIS, MINNESOTA UNDER THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION, EXCEPT THAT EITHER PARTY MAY SEEK TEMPORARY AND PRELIMINARY SPECIFIC PERFORMANCE AND INJUNCTIVE RELIEF, IN ANY COURT OF COMPETENT JURISDICTION, WITHOUT THE POSTING OF BOND OR OTHER SECURITY. These Terms (together with our Privacy Policy and, if applicable, any Notice of Privacy Practices and Informed Consent to which you agree in connection with receiving healthcare services from Healthcare Practitioners) contain the entire understanding and agreement between you and us with respect to the Services and supersede all previous communications, negotiations, and agreements, whether oral, written, or electronic, between you and us with respect to this Service and your use of this Service.
